Agreement to Terms

By accessing or using the ILLIXIS platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service.

Account Registration

To use certain features of the Service, you must register for an account. When you register, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

SMS and Text Message Consent

By providing your phone number and checking the SMS consent box on any ILLIXIS form, you expressly consent to receive text messages from ILLIXIS and businesses using the ILLIXIS platform. You understand that:

• Message frequency varies based on your interactions
• Message and data rates may apply
• Consent is not a condition of purchase
• You can opt out at any time by replying STOP
• Reply HELP for assistance

Types of messages you may receive include:

• Appointment reminders and confirmations
• Follow-up communications related to your inquiry
• Service notifications and account alerts
• Promotional offers (if you opted in to marketing)

SMS Messaging Services (For Businesses)

If you use ILLIXIS SMS features to send text messages to your customers or subscribers, the following terms apply:

Compliance Responsibility

You are solely responsible for ensuring that your use of ILLIXIS SMS messaging features complies with all applicable laws and regulations, including but not limited to the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and any state or local regulations governing SMS/text messaging.

Consent Requirements

You represent and warrant that:

• You have obtained prior express written consent from each recipient before sending any SMS messages through ILLIXIS
• Your consent collection process clearly discloses the nature and frequency of messages to be sent
• You maintain records of consent for each recipient
• You honor all opt-out requests promptly and completely

Prohibited Uses

You agree not to use ILLIXIS SMS features to:

• Send unsolicited messages to recipients who have not provided consent
• Send messages after a recipient has opted out
• Misrepresent the sender or purpose of messages
• Send messages that violate any applicable law or regulation

SMS Indemnification

You agree to indemnify, defend, and hold harmless ILLIXIS, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

• Your violation of any law or regulation relating to SMS messaging
• Your failure to obtain proper consent from message recipients
• Any claims by recipients of messages you sent through ILLIXIS
• Your violation of these SMS Messaging Terms

TCPA Compliance Acknowledgment

You acknowledge that violations of the TCPA can result in statutory damages of $500 to $1,500 per message sent in violation. You agree that ILLIXIS is not responsible for any such damages arising from your messaging practices.

Compliance Verification

As a condition of using ILLIXIS SMS features, you must:

• Complete the SMS Compliance Setup in your account settings
• Provide URLs to your privacy policy and terms of service
• Acknowledge your understanding of and agreement to these terms
• Maintain compliant practices throughout your use of the service

SMS Feature Termination

ILLIXIS reserves the right to suspend or terminate your access to SMS features immediately and without notice if we have reason to believe you are violating these terms or any applicable law.

Subscription and Billing

Subscription Plans

ILLIXIS offers various subscription plans with different features and limits. By subscribing, you agree to pay the applicable fees for your chosen plan.

Billing

• Subscriptions are billed in advance on a monthly or annual basis
• Payment is due at the start of each billing period
• Fees are non-refundable except as required by law
• We may change our fees with 30 days' notice

Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. You retain access until that time, but no refunds will be issued for partial periods.

Acceptable Use

You agree not to use the Service to:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Transmit harmful code or malware
• Engage in unauthorized access or security breaches
• Spam or send unsolicited communications
• Harass, abuse, or harm other users
• Scrape or data mine without permission
• Reverse engineer or decompile the Service
• Resell or redistribute the Service without authorization

Fair Use Policy

Certain features described as “unlimited” are subject to fair use limits designed to prevent abuse. These limits are set well above normal business usage and will not affect legitimate use of the Service.

Social media posting is provided on an unlimited basis for normal business use. We reserve the right to throttle or restrict accounts that exceed reasonable usage thresholds. If your usage consistently exceeds fair use limits, we will contact you to discuss your needs before taking any action.

Current fair use thresholds are reviewed periodically and are not published to prevent gaming. We will always provide notice before enforcing any limit.

Intellectual Property

Our Content

The Service and its original content, features, and functionality are owned by ILLIXIS and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Your Content

You retain ownership of content you create using the Service. By using the Service, you grant us a license to:

• Store and process your content
• Display your content to you and authorized users
• Improve our technology and services (anonymized)
• Create backups for service reliability

Generated Content

The Service uses automated technology to generate content. You acknowledge that:

• Generated content may not always be accurate or complete
• You are responsible for reviewing and editing generated content
• You should verify facts and ensure compliance with your use case
• We do not guarantee specific results or outcomes
• Generated content should be reviewed before publication

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Merchantability or fitness for a particular purpose
• Non-infringement
• Accuracy, reliability, or availability
• Freedom from errors or viruses

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ILLIXIS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Indemnification

You agree to indemnify and hold harmless ILLIXIS from any claims, damages, losses, liabilities, and expenses arising from your use of the Service or violation of these Terms.

Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including:

• Violation of these Terms
• Non-payment of fees
• Suspected fraud or abuse
• Legal or regulatory requirements

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Service. Continued use after changes constitutes acceptance of the new Terms.
